SoulLink — Terms of Service

Important: These Terms contain provisions that limit our liability and include a dispute resolution clause with binding arbitration and a class action waiver (see Section 14). If you do not agree to these Terms, do not use the Services.

1. Our Services

SOULLINK LIMITED (“SoulLink”, “we”, “us”, “our”) provides an AI companion service through mobile and web applications, websites, and related features (collectively, the “Services”).

1.1 Medical / professional disclaimer

SoulLink is software designed for companionship and wellbeing support. It is not a medical device, therapy, or professional service. It does not provide medical, mental health, legal, or other professional advice. Seek qualified professionals for such advice and in emergencies.

2. Your Account & Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Services.
Provide accurate information and keep your credentials secure. You are responsible for activities under your account.
We may refuse service, close accounts, or reclaim usernames where appropriate and lawful.

3. Subscriptions, Billing & Refunds

Paid features may be offered via subscriptions or one-time purchases. Payments may be processed by app stores or third-party processors.
Unless otherwise stated, subscriptions renew automatically until you cancel in the app store or account settings.
Prices may change prospectively. Taxes may apply. Any refunds are handled by the original payment channel unless we state otherwise.

4. Acceptable Use

You agree not to:

Use the Services for unlawful, harmful, or abusive purposes; solicit or distribute illegal content.
Harass, threaten, or impersonate others; violate others’ privacy or intellectual property rights.
Attempt to reverse engineer, extract datasets, scrape at scale, or circumvent security and rate limits.
Upload malware or interfere with the normal operation of the Services.

We may enforce these Terms, including removing content, restricting features, or suspending/terminating accounts.

5. Your Content & Our License

You retain ownership of content you provide. To operate and improve the Services, you grant SoulLink a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and create derivative works of your content solely for: (a) providing the Services; (b) maintaining safety and security; (c) meeting legal requirements; and (d) improving features and model quality (subject to your settings and applicable law).

6. Service Content & Intellectual Property

The Services and all associated materials (software, models, graphics, trademarks, etc.) are owned by SoulLink or its licensors and are protected by law. You are granted a limited, revocable, non-transferable license to use the Services for personal, non-commercial purposes, subject to these Terms.

7. Safety & Moderation

We may use automated systems and human review (under confidentiality obligations) to maintain safety, detect abuse, and improve quality. We may remove or block content that violates these Terms or applicable law.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and process personal data and your choices.

9. Third-Party Services

Third-party links or integrations may be provided for convenience. Their terms and privacy policies govern those services. We are not responsible for third-party services.

10. Changes & Availability

We may change, suspend, or discontinue all or part of the Services at any time. We will provide notice where required by law. Some features may be in preview, beta, or subject to additional terms.

11. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, SoulLink disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee error-free or uninterrupted operation, or that outputs will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by law, SoulLink and its affiliates, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid to SoulLink for the Services in the twelve (12) months preceding the event giving rise to the claim or USD $100, whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless SoulLink and its affiliates from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

14. Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@soullink.app.

Binding arbitration. Except where prohibited by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration, rather than in court. You and SoulLink waive any right to a jury trial.

Class action waiver. You and SoulLink agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration.

15. Governing Law & Venue

These Terms are governed by the laws of [choose: Hong Kong SAR / Delaware, USA / your governing jurisdiction], without regard to its conflict of laws principles. Subject to Section 14, exclusive venue for any permitted court action is in the courts located in [jurisdiction].

16. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required by law. Upon termination, Sections 5–16 survive.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app or on our Website) and update the “Last updated” date above. Continued use after the effective date constitutes acceptance of the updated Terms.
